General Terms and Conditions (GTC) 1. Scope These General Terms and Conditions (GTC) apply to all orders placed by businesses via our online shop for LED lighting. 2. Contracting Party The purchase agreement is concluded with GRACION EUROPE GmbH, Poppelsdorfer Allee 104, 53115 Bonn, represented by Xu Yun Xia. 3. Offer and Conclusion of Contract The presentation of the products in the online shop does not constitute a legally binding offer, but rather an invitation to place an order. By clicking the "Buy" button, you submit a binding order for the goods contained in the shopping cart. The contract is concluded when we accept your order by sending an order confirmation via email. 4. Prices and Shipping Costs All prices are exclusive of statutory VAT and shipping costs. The shipping costs are displayed in the shopping cart before the order is completed. 5. Delivery Conditions Delivery is made within Europe. The delivery time is 3-52 working days, unless otherwise agreed. Should any products be unavailable, we will inform you immediately. Payment Terms Payment is made at the customer's discretion by prepayment, PayPal, credit card, or invoice (subject to credit check). The invoice amount is due within 14 days of receipt of the goods. Liability for Defects and Warranty In the event of defects in the delivered goods, you are entitled to the statutory rights. Please contact us immediately in the event of a complaint. 9. Liability We are liable without limitation for intent and gross negligence. For simple negligence, we are only liable for breaches of essential contractual obligations and only to the foreseeable damages typical for this type of contract. 10. Jurisdiction and Applicable Law The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for all disputes arising from contractual relationships is the registered office of our company. 12. Final Provisions Should any provision of these Terms and Conditions be invalid, this shall not affect the validity of the remaining provisions. The relevant statutory provision shall apply in place of the invalid provision.
